Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Hoy Genda (formerly Geezgenda) web and mobile applications ("Service"), operated from Tulsa, Oklahoma, USA. By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree, do not use the Service.

1. The Service

Hoy Genda is a multi-organization task, project, and time-tracking application. It allows organizations to manage tasks, projects, crew members, time entries, and related work data across web and mobile platforms.

2. Eligibility and Accounts

You must be at least 13 years old to use the Service. You must provide accurate information when creating an account and keep it up to date. You are responsible for:

Keeping your password confidential
All activity that occurs under your account
Promptly notifying us at info@geezgenda.com of any unauthorized access

One account per person. Sharing login credentials between people is prohibited.

3. Subscriptions, Fees, and Payment

The Service is currently offered free of charge during a beta period at our discretion. Paid subscription tiers will be introduced at general public launch. When paid plans become available:

Fees and billing terms will be disclosed before you are charged
Subscriptions auto-renew until canceled
You may cancel at any time, effective at the end of the current billing period
Fees already paid are non-refundable except where required by law
We may change prices with at least 30 days' notice for existing subscribers

4. Acceptable Use

You agree NOT to:

Use the Service for any unlawful purpose or in violation of any applicable law
Upload, store, or transmit content that is illegal, defamatory, harassing, infringing, or otherwise objectionable
Attempt to gain unauthorized access to any account, data, or system
Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Service, except to the extent expressly permitted by applicable law
Copy, clone, mirror, or create a derivative product based on the Service, its design, or its functionality
Use the Service to develop a competing product
Scrape, harvest, or collect data from the Service by automated means
Interfere with, disrupt, or impose unreasonable load on the Service or its infrastructure
Bypass or attempt to bypass any access control, rate limit, or security feature
Resell, sublicense, or commercially exploit the Service without our written permission
Impersonate any person or misrepresent your affiliation with any person or entity

We may suspend or terminate your account, without notice, for any violation of this section.

5. Your Content

You retain ownership of the content you upload to the Service (tasks, photos, notes, time entries, etc.) — "Your Content".

You grant Hoy Genda a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely for the purpose of operating and providing the Service to you and the members of your organization(s). This license terminates when you delete the content or your account.

You represent and warrant that you have the right to upload and share Your Content, and that doing so does not violate the rights of any third party or any applicable law.

6. Intellectual Property

The Service, including its source code, design, layout, branding, name, logo, graphics, and all underlying software ("Hoy Genda IP"), is owned by Hoy Genda and is protected by United States and international copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Hoy Genda IP except for the limited right to use the Service in accordance with these Terms.

"Hoy Genda" (formerly "Geezgenda") is a trademark of Hoy Genda. You may not use it without our prior written permission.

7. Privacy

Our handling of your information is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Termination

You may stop using the Service at any time and request account deletion by emailing info@geezgenda.com.

We may suspend or terminate your account, with or without notice, if:

You violate these Terms
We are required to do so by law
Continued provision of the Service to you is no longer commercially or technically reasonable
We discontinue the Service

On termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and governing law) will continue to apply.

9. Disclaimers

The Service is provided "as is" and "as available", without warranty of any kind, express or implied. To the maximum extent permitted by law, Hoy Genda disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted operation. We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, Hoy Genda and its operators, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with these Terms or the Service, even if we have been advised of the possibility of such damages. Our total cumulative liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Hoy Genda in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Hoy Genda and its operators, employees, and contractors from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Oklahoma, USA, without regard to its conflict-of-law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Tulsa County, Oklahoma. You and Hoy Genda each consent to personal jurisdiction and venue in those courts and waive any objection to either.

13. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated by updating the "Last updated" date at the top of this page and, where appropriate, by email or in-app notice. Your continued use of the Service after a change indicates acceptance of the updated Terms.

14. Miscellaneous

Entire agreement. These Terms (together with the Privacy Policy) constitute the entire agreement between you and Hoy Genda regarding the Service and supersede any prior agreements.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.

No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
